Please read these terms of service carefully before accessing the Simplify Platform, purchasing our Subscriptions and/or engaging with our Communication Channels.1. INTRODUCTION1.1 These are the terms of service (Terms) upon which:(a) We make available simplify.software (our Site);(b) We provide paid access to an online platform, which can be found at simplify.software, that helps small business owners manage various aspects of their businesses, including (but not limited to) their clients, deadlines, workflow, tasks, emails and team members (this platform, together with our Site, constitutes the Simplify Platform);(c) You purchase subscriptions to the Simplify Platform (our Subscriptions); and(d) We provide content across our social media channels, our newsletter communications and any third party website, social media channels or newsletter communications (our Communication Channels);1.2 The Simplify Platform, Subscriptions and Communication Channels (together constituting our Services) are owned and operated by Simplify Software Ltd (trading as “Simplify Software”), a company registered in England and Wales with company number 13081063 and whose registered office is situated at 20-22 Wenlock Road, London, N1 7GU, United Kingdom (Simplify Software, our, we, us). To contact us, please email [email protected].1.3 “Users” and “you” mean visitors to our Site, Subscription customers, those to whom Subscription customers provide access to our Services (e.g. their employees and contractors), recipients of our communications, and our suppliers.1.4 By accessing our Services, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use our Services. We recommend that you print a copy of these Terms for future reference.1.5 These Terms refer to our Privacy Policy and Cookie Policy, which also apply to your use of our Services.1.6 We may amend our Terms from time to time, so every time you wish to use our Services, please check the current Terms to ensure you understand the Terms that apply at that time. These Terms were most recently updated on the date stated above.1.7 We may transfer our rights and obligations under these Terms to another organisation, for example if we decide to sell the company.2. ACCEPTABLE USE2.1 Content on the Simplify Platform(a) We may update and change the Simplify Platform from time to time to reflect changes to our products and services, our users' needs and our business priorities.(b) The content on the Simplify Platform is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice or tuition before taking, or refraining from, any action on the basis of the content on the Simplify Platform.(c) Although we make reasonable efforts to update the information on the Simplify Platform, we make no representations, warranties or guarantees, whether express or implied, that the content on the Simplify Platform is accurate, complete or up to date.(d) The Simplify Platform and our Communication Channels may include information and materials uploaded by Users (for example, subscribers and other stakeholders). This information and these materials may not have been verified or approved by us and you accept that the views expressed by other Users on the Simplify Platform do not represent our views or values.(e) If you wish to complain about content on the Simplify Platform or our Communication Channels, please contact us via [email protected].2.2 Accessing the Simplify Platform(a) You are responsible for configuring your information technology, computer programmes and platform to access the Simplify Platform.(b) We do not guarantee that the Simplify Platform, or any content on it, will always be available or be uninterrupted. You accept that we may suspend, withdraw or restrict the availability of all or any part of the Simplify Platform for business and operational reasons, as may the third party software providers on which we rely from time to time to keep the Simplify Platform operational.(c) If you choose, or you are provided with, a user identification code, password or any other piece of information as part of account creation processes (e.g. when creating an account) or our security procedures, you must treat such information as confidential and not disclose it to any third party.(d) We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.(e) If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at [email protected].(f) You are also responsible for ensuring that all persons who access the Simplify Platform through your internet connection or your account are aware of these Terms and other applicable terms, and that they comply with them.(g) We reserve the right to temporarily disable your account if your usage significantly exceeds the usage limits of your Subscription. We’ll use our reasonable endeavours to reach out to the account owner before taking any action, except in rare cases where the level of use may negatively impact the performance of the Services for other customers.2.3 Viruses and bots(a) We do not guarantee that the Simplify Platform will be secure or free from bugs or viruses, so you should use your own suitable virus protection software. Accordingly, you agree not to hold us accountable for such bugs or viruses.(b) You must not misuse the Simplify Platform by knowingly introducing or permitting the introduction of viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Simplify Platform, the servers on which the Simplify Platform are stored or any server, computer or database connected to the Simplify Platform. You must not attack the Simplify Platform via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Services will cease immediately.(c) You must not use bots or other automated methods to register accounts on the Simplify Platform.3. SUBSCRIPTIONS3.1 In consideration of you paying the applicable fees, and subject to these Terms, we will grant you a non-transferable, non-exclusive, non-sublicensable worldwide licence to use the Simplify Platform for the duration of your Subscription.3.2 Our acceptance of an order takes place when payment for a Subscription has been received by us. Before this point, we reserve the right to reject or cancel your order, in which case you will be provided with either a refund or an alternative offer (which you may reject in favour of a refund). We might do so because, for example, there are unexpected limits on our resources, we have identified an error in the price or description of the Services, or you have failed to provide us with information that is necessary for the supply of the Services.3.3 All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties. Where required, we may collect those taxes on behalf of taxing authorities and remit those taxes to taxing authorities.3.4 From time to time, we may update or amend our Services, for example to reflect changes in our customer base and industry trends. This includes adding, removing and amending software tools and features in our sole discretion. This means the tools and features available on the Simplify Platform may vary slightly from those marketed via our Site landing pages and Communication Channels. Any new features that augment or enhance the current Services, including the release of new tools and resources, shall be subject to these Terms and the continued use of the Services after any such changes shall constitute your consent to such changes.3.5 The Services are provided on an “as is” and “as available” basis. We reserve the right to modify or discontinue, temporarily or permanently, any part of our Services from time to time. Where this is the case, we will let you know as soon as reasonably practicable and shall refund you for any sums paid in advance in respect of Services which will no longer be provided where we have not provided a materially suitable replacement.4. RETURNS AND REFUNDS4.1 In relation to your right to a refund, please see our Fair Refund Policy, which is hereby incorporated into these terms.5. THIRD-PARTY WEBSITE & RESOURCES5.1 You agree not to hold us responsible if defective third-party software damages a device or digital content belonging to you and accept that we will never accept responsibility for damage which you could have avoided by following our advice to apply an update offered to you free of charge or for damage which was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us or the relevant software providers.5.2 Where our Services contain links to third parties, including (but not limited to) links to third party website content, social media channels, platforms, individuals, organisations, products, services, or other resources (including content, communications, mailing lists, advice and information) (Third-Party Resources), these links are provided for your information only.5.3 Links to Third-Party Resources should not generally be interpreted as recommendations that you interact with such Third-Party Resources, or as approval by us of those Third-Party Resources or information you may obtain from them, and you accept that we have no control over the nature or availability of such Third-Party Resources.5.4 If you access, purchase or use any Third-Party Resources:(a) You do so solely at your own risk and we make no representation, warranty or commitment and shall have no liability or obligation whatsoever in relation to the content or use of, or correspondence with, any such Third-Party Resources, or any transactions completed and any contracts entered into by you with any such Third-Party Resources; and(b) By using such Third-Party Resources, you agree to also be bound by any terms and conditions applicable to the use of such Third-Party Resources and accept that you may need to pay additional fees to access those Third-Party Resources. Accordingly, we recommend that you refer to any applicable terms and conditions and policies prior to using any Third-Party Resources.5.5 You may link to our Services, provided you do so in a way that is fair and legal, does not damage our reputation or take advantage of it, and does not suggest any form of association, approval or endorsement on our part where none exists.5.6 You must not establish a link to our Services in any websites or resources that are not owned by you, unless you have been given express permission to do so by the owner of such websites or resources, and our Services must not be framed on any other website or within any resources.5.7 We reserve the right to withdraw linking permission at any time and in our sole discretion.5.8 If you wish to link to or make any use of our Services other than as set out in these Terms, please contact [email protected].6. LIMITATIONS ON USE OF THE SERVICES6.1 You must not:(a) print off, print screen, download, copy, modify, record, duplicate, reproduce, create derivative materials from, modify, frame, mirror, republish, transmit, distribute, display, share, distribute, transmit, retransmit, transfer, disseminate, broadcast, circulate or otherwise use the Services or any portion of the Services, including any portion of the HTML, CSS, JavaScript or visual design elements in any form or by any means without our prior written consent, except as permitted by these Terms;(b) use the Services in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms; or(c) act fraudulently or maliciously, for example, by decompiling the Simplify Platform or inserting malicious code, including viruses, or harmful data, into the Simplify Platform.6.2 Where we consent to you using our content in a manner described in clause 6.1(a), you agree that our status (and that of any identified contributors) as the owners of the relevant content must always be acknowledged, and that we can withdraw our consent at any time (at which point, you will return, remove and/or destroy the content and any copies thereof, at our request and in our sole discretion, as soon as practicable).6.3 You shall not use any part of the Services in order to build a product, service, offering or following, whether for commercial purposes or otherwise, on your own behalf or for a third party.6.4 You shall not license, sell, resell, rent, commercially exploit, make available to third parties, or enable any third parties to access the Simplify Platform, for example by sharing your log-in details with third parties. To clarify, your log-in details may only be used by you; any other individual or business must only access Services behind a member paywall using their own distinct log-in details.6.5 You shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Simplify Platform and, in the event of any such unauthorised access or use, shall promptly notify us of any details reasonably required in connection with such unauthorised access.7. INTELLECTUAL PROPERTY7.1 We claim no intellectual property rights over the materials you upload to the Simplify Platform, in so far as you are the creator or owner of such materials.7.2 Subject to clause 7.1, you acknowledge and agree that unless otherwise specified, we are the owner or the licensee of all intellectual property rights in our Services, including the material published on the Simplify Platform.7.3 These Terms do not grant you any rights to, under or in, any patents, copyright, database rights, trade secrets, trade names, trade marks (whether registered or unregistered), or any other rights or licences in respect of the Services, other than in respect of the limited licence set out in clause 3.1.7.4 You agree not to infringe in any way our intellectual property rights or those of any third party in relation to your use of the Services.7.5 You are not permitted to use our business name, trading name, logos or branding without our approval and you shall not remove or in any manner alter any logo, brand name, product identification, proprietary mark, trade mark notice, copyright notice, or other notices contained in or comprising part of the Services.8. LIABILITY8.1 If you have any questions or complaints about our Services, please contact us via [email protected].8.2 We do not warrant that:(a) the Services will meet your specific requirements;(b) the Services will be uninterrupted, timely, secure, or error-free;(c) anything regarding the accuracy or reliability of results that may be obtained from the use of the Service;(d) the quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations; and/or(e) any errors in the Service will be corrected.8.3 Other than as set out in clause 3.6, we shall not be liable to you or any third party in connection with any modification, price change, suspension or discontinuance of the Services.8.4 We shall have no liability to your under these Terms if we are prevented from or delayed in performing our obligations, or from carrying on our business, by acts, events, omissions or accidents beyond its reasonable control, including, without limitation, strikes, lock-outs or other industrial disputes (whether involving our workforce or any other

Simplify Software is the controller (also known as a data controller) of, and is responsible for, your personal information. The term “you” refers to the user wishing to access and/or use the Simplify Services.The Simplify Platform provides a platform that helps small businesses manage clients, deadlines, workflow, emails and team members.4. INFORMATION WE MAY COLLECT ABOUT YOU4.1 Personal information you disclose to usIn Short: We collect personal information that you provide to us including information such as your name, address, contact information, date of birth, job title, social media handles/URLs and payment card information (see paragraph (b) below for further details).(a) Where and how we collect personal informationWe collect personal information that you voluntarily provide to us when registering to use and actually using the Simplify Services, or otherwise contacting us.If you apply or are put forward for a role with us, or work for us (either directly or indirectly) for any period of time, we also collect your personal information, which may include your contact details, financial and payment details, details of your education, qualifications and skills, your marital status, your nationality, your NI number, your job title and your CV.If you give us personal information on behalf of a third party, for example an employee, contractor or client, in providing that information to us you are confirming that you have sought and obtained, from that individual, permission for you to:Consent on their behalf to the processing of their personal data;

We may do this for a number of reasons, such as to check the quality of our customer service, for training purposes, to prevent fraud or to make sure we are complying with legal requirements.If you visit our offices, some personal data may also be collected from monitoring devices and systems such as access cards.Unless otherwise specified, all personal information requested by us is mandatory and failure to provide this information may make it impossible for us to provide our services. We do not store or process your card details ourselves, they are processed and stored via one of our contracted third-party service providers. We encrypt your payment card details in your browser and securely transfer this data to our relevant third-party payment provider to process a payment.Transaction Data, which means details about transactions you have made in connection with the Simplify Services, including the payments to and from you along with other details of products you have purchased from us.Profile Data, which includes your username, email address and log-in data, details of any purchases or orders made by you, and your interests, preferences, feedback and survey or questionnaire responses and, in relation to job applicants, details of your next of kin, emergency/alternate contact(s) or referee(s) (note: you can delete or replace your next of kin, emergency/alternate contact(s) or referee(s) at any time by contacting us).Usage Data, which includes Information collected automatically through us, or via third-party service providers, about how you use the Simplify Services. This includes your browsing patterns and Information such as how long you might spend on one of our webpages on the Simplify Platform and what you look at and for, the page that referred you to the Simplify Platform and the click stream during your visit to our website, page response times, and page interaction Information (for example, clicks you make on a page).Marketing and Communications Data, which includes your preferences with regards to receiving marketing from us and your other communication preferences.

If we request such information, we will explain why we are requesting it and how we will use it.4.3 Personal information from third partiesIn Short: We may receive information about you from third parties, and we may use this information to provide, improve and personalise the Simplify Services.Occasionally we may receive information about you from other sources, which we will add to the information we already hold about you in order to help us provide, improve and personalise the Simplify Services. If you apply for a job with us, we may also receive information from those who provide references relating to your prospective or actual engagement or employment.4.4 Information automatically collectedIn Short: Some Information – such as IP addresses and/or browser and device characteristics – is collected automatically when you use the Simplify Platform.We automatically collect certain Information when you visit, use or navigate the Simplify Platform. This Information does not reveal your specific identity (unless your device name is the same as your name) but may include device and usage Information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, location, Information about how and when you use the Simplify Platform and other technical Information. This Information is primarily needed to maintain the security and operation of the Simplify Platform, and for our internal analytics and reporting purposes.Like many businesses, we also collect Information through cookies and similar technologies. HOW DO WE USE YOUR INFORMATION?In Short: We process your Information for purposes based on legitimate business interests, the fulfilment of our contract with you, compliance with our legal obligations, and/or your consent.We use your Information collected via the Simplify Services for a variety of business purposes, as described below. We process your Information for these purposes in reliance on our legitimate business interests (Business Purposes), in order to enter into or perform a contract with you (Contractual Reasons), with your consent (Consent), and/or for compliance with our legal obligations (Legal Reasons). We indicate the specific processing grounds we rely on next to each purpose listed below.We may process your Information for the following purposes:To take steps towards entering into a contract with you, to provide the Simplify Services and to claim any right to be paid under our Terms (Contractual Reasons). This includes collecting and using your personal information to:Prepare an agreement with you;Manage any accounts you hold with us;Contact you for reasons related to the Simplify Services;Enable us to follow up on enquiries made by you in relation to the Simplify Services and/or to provide information you have requested;Contact your next of kin or your emergency/alternate contact(s) in order to get in touch with you when we have failed to do so using your own contact details;Contact your referee(s) or to obtain a reference for a job that you are applying for;Deal with payment for the Simplify Services;Notify you of any changes to our Site or to the Simplify Services that may affect you; andResolve disputes or collect overdue payments.To deliver the Simplify Services, including fulfilling and managing any orders, payments, and refunds (Contractual Reasons).To contact you regarding enquiries you have made in relation to the Simplify Services.To facilitate a recruitment process in which you are involved.To provide quotes for software/details of offers (Business Purposes).To send administrative Information to you for Business Purposes, Legal Reasons and/or possibly Contractual Reasons. We may use your Information to send you product, service and new feature information and/or information about changes to our Terms and policies, as may be in place from time to time.To send you marketing and promotional communications for Business Purposes and/or with your Consent. We and/or our brand partners may use your Information for our marketing purposes, if this is in accordance with your marketing preferences. You can opt-out of our marketing emails (see below for further details).To facilitate account creation and the log-in process with your Consent. If you choose to link your account with us to a third party account (such as your Google or Facebook account), we use the Information we are consequently allowed to collect from those third parties to facilitate account creation and the log-in process. See the section below headed "How Do We Handle Your Social Media Log-ins" for further information.To administer promotions for our Business Purposes and/or with your Consent.
To request feedback for our Business Purposes and/or with your Consent. For example, we may use your Information to request feedback and to contact you about your use of the Simplify Platform.To protect the Simplify Services for Business Purposes and/or Legal Reasons. We may use your Information as part of our efforts to keep the Simplify Services safe and secure (for example, for the purposes of monitoring and/or preventing fraud).To enforce our Terms and policies for Business Purposes, Legal Reasons and/or possibly Contractual Reasons.To respond to legal requests and prevent harm for Legal Reasons. For example, if we receive a subpoena or other legal request, we may need to inspect the data we hold to determine how to respond.We may use your Information for other Business Purposes, such as data analysis, identifying usage trends, determining the effectiveness of our promotional campaigns and to evaluate and improve the Simplify Services, our products and services, our marketing and your experience.
6. WILL YOUR INFORMATION BE SHARED WITH ANYONE?In Short: In general, we only share Information for Contractual Reasons, to fulfil our Business Purposes, or with your Consent.We only share and disclose your Information in the following situations:Compliance with Legal Obligations. We may disclose your Information where we are legally required to do so in order to comply with applicable laws, governmental requests, judicial proceedings, court orders, or legal processes, such as in response to a court order or a subpoena (including in response to requests from public authorities in order to meet national security or law enforcement requirements).Vital Interests. We may disclose your Information where we believe it is necessary to investigate, prevent, or take action regarding potential violations of our policies, suspected fraud, illegal activities or situations involving potential threats to the safety of any person, or where we believe it is necessary for the purpose of providing evidence in connection with litigation proceedings in which we are involved.Third Party Service Providers. We may share your Information with third party vendors, service providers, credit card associations, contractors or agents who perform services and require access to such Information to carry out work relating to the Simplify Services. Examples include third parties involved in the administration, sales, marketing, legal and technical aspects of the Simplify Platform, as well as third-party technical service providers (including Amazon Web Services, Zapier Inc., Functional Software, Inc, HubSpot, Inc, Intercom, Inc), mail carriers, hosting providers, IT companies and communications agencies. Such third parties will only have access to your Information to the extent that they need to perform those services. They are required to keep your Information confidential and may not use it other than as we ask them to and always in accordance with this Policy.Business Transfers. We may share or transfer your Information in connection with, or during negotiations of, any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.Third Party Advertisers. We may use third party advertising companies to serve ads when you visit the Simplify Platform. These companies may use Information about your visits to the Simplify Platform and other websites that are contained in web cookies and other tracking technologies in order to provide personalised advertisements about goods and services that may be of interest to you. See our Cookie Policy for further Information.Business Partners. Provided you have given us Consent to do so we may share your Information with our business partners to offer you certain products, services or promotions.With your Consent. We may disclose your Information for any other purpose with your Consent, including with any person who you have named as a person we can contact to discuss your account and any agent or representative of yours.We may disclose aggregated, anonymous Information (i.e. Information from which you cannot be personally identified), or insights based on such anonymous Information, to selected third parties, including (without limitation) analytics and search engine providers to assist us in the improvement and optimisation of the Simplify Services. In such circumstances we will not disclose any Information which can identify you personally.7. IS YOUR INFORMATION TRANSFERRED INTERNATIONALLY?In Short: We may transfer, store, and process your Information in countries other than the UK, but will take all reasonable steps to ensure it is protected.Whenever we transfer your Information outside of the UK, we will take all reasonably practicable measures to protect your Information in accordance with this Policy and applicable laws. To the extent that any transfer requires approved safeguards to be in place we will only transfer your Information to countries that have been deemed to provide an adequate level of protection for personal data. Where we use certain service providers, we may use specific contracts approved for use in the UK which give personal data the same protection it has in the UK, for example the EU Standard Contractual Clauses.8. THIRD PARTY WEBSITESIn Short: We are not responsible for the safety of any Information that you share with third party providers who feature or advertise, but are not affiliated with, the Simplify Services.The Simplify Platform may feature links to third party websites or social media channels, or contain advertisements from third parties that are not affiliated with us and which may link to other websites, online services or mobile applications. We cannot guarantee the safety and privacy of data you provide to any third parties.
